Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Imageditly (“Imageditly,” “we,” “us,” or “our”) governing your access to and use of our website, applications, AI generation and editing tools, accounts, subscriptions, credits, and related services (collectively, the “Services”).

By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services. If you use the Services for a company or other organization, you represent that you have authority to bind it, and “you” includes that entity.

You must be at least 13 years old and legally permitted to use the Services. If you are under the age of majority where you live, a parent or legal guardian must review and agree to these Terms on your behalf. The Services are not available to anyone barred from receiving them under applicable law.

• Provide accurate, current information and keep it up to date.
• Protect your password, sign-in links, tokens, and other credentials.
• Do not share, sell, or transfer your account without our written approval.
• Notify us promptly if you suspect unauthorized access or account misuse.
• You are responsible for activity performed through your account.

Imageditly provides tools that send prompts, uploaded media, and selected settings to AI models and return generated or edited images, videos, or other results (“Outputs”). AI technology is probabilistic and may produce inaccurate, incomplete, offensive, unexpected, or similar results for different users.

• Review every Output before relying on, publishing, or distributing it.
• Do not treat Outputs as professional, legal, medical, financial, or safety advice.
• Verify facts, labels, disclosures, permissions, and suitability for your intended use.
• We do not guarantee that an Output is unique, accurate, non-infringing, or eligible for copyright, trademark, or other protection.

Certain features require credits or a paid plan. The price, billing period, included credits, credit validity, renewal terms, and other purchase details shown at checkout form part of these Terms.

• Credits. Credits are a limited, personal, revocable license to use eligible features. They are not money, stored value, or transferable property and cannot be resold or redeemed for cash.
• Usage. Credit cost may vary by model, feature, quality, resolution, duration, and output count. The estimate displayed before a request is the applicable charge unless an obvious technical error exists.
• Subscriptions. Paid subscriptions renew at the interval shown at checkout until canceled. You authorize the payment provider to charge the applicable price and taxes using your selected payment method.
• Cancellation. You may cancel future renewal through the available billing controls or by contacting support. Cancellation does not retroactively refund the current billing period unless required by law.
• Failed generations. We may automatically return credits for certain failed, canceled, or partially completed tasks based on our system records. Returned service credits are not a cash refund.
• Refunds. Except where required by law or expressly stated at checkout, purchases are final and non-refundable once credits or paid features have been used. Contact support if you believe a charge was made in error.

We may change future pricing, plan features, or credit requirements. Changes to recurring prices will take effect no earlier than your next renewal after any notice required by law.

As between you and Imageditly, you retain any rights you have in prompts, uploads, and other material you submit (“Input”). Subject to applicable law, model-provider terms, and third-party rights, you also retain any rights you may have in Outputs.

You grant Imageditly a worldwide, non-exclusive, royalty-free license to host, copy, transmit, modify for technical purposes, display to you, and otherwise process Input and Outputs only as reasonably necessary to operate, secure, and support the Services, comply with law, and enforce these Terms. This license ends when the content is deleted from active systems, except where continued retention is legally permitted or required.

You represent and warrant that:

• you own or have all necessary rights and permissions for your Input;
• your Input and intended use of Outputs do not violate law or another person’s rights;
• you have obtained any required consent from people depicted or identified;
• your instructions do not ask us or a model provider to create prohibited content.

You may not use the Services to create, upload, request, or distribute content that:

• violates any law, regulation, court order, or enforceable third-party right;
• sexually exploits or endangers a minor, or depicts a minor in a sexualized way;
• contains non-consensual intimate imagery or facilitates sexual exploitation;
• impersonates, defrauds, deceives, harasses, threatens, or meaningfully harms another person, including deceptive deepfakes or identity misuse;
• infringes copyright, trademark, publicity, privacy, confidentiality, or other rights, including removing ownership marks without authorization;
• promotes terrorism, violent extremism, targeted hatred, or credible violence;
• facilitates malware, credential theft, fraud, illegal weapons, or other serious wrongdoing;
• contains sensitive personal information you lack authority to process;
• is submitted to evade safeguards, moderation, rate limits, or trial restrictions.

You also may not:

• reverse engineer, disrupt, overload, scrape, or probe the Services without permission;
• use automated means to access the Services except through an authorized interface;
• resell or provide access to the Services or credits unless we expressly allow it;
• misrepresent AI-generated content as authentic where disclosure is legally required.

We may investigate suspected violations and remove content, limit features, suspend accounts, preserve relevant information, or report conduct where reasonably necessary.

The Services rely on third-party AI models, hosting, storage, authentication, email, payment, and network providers. Your request may be processed by a provider based on availability, selected model, feature compatibility, quality, or reliability. Provider-specific restrictions may also apply.

We are not responsible for third-party websites, services, or provider terms. Availability of a third-party model does not mean that Imageditly owns, endorses, or controls that provider or guarantees its continued availability.

The Services, including our software, interface, design, branding, documentation, and site content, are owned by Imageditly or its licensors and are protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose. No other rights are granted by implication.

If you send ideas, suggestions, or feedback, you grant us a perpetual, worldwide, irrevocable, royalty-free right to use it without restriction or compensation. Do not submit feedback you consider confidential.

We may add, change, limit, suspend, or discontinue any part of the Services, model catalog, features, usage limits, or free offerings. We do not promise that every model or feature will always be available or that requests will finish within a particular time.

Preview, experimental, or beta features may be less reliable and may change or end without notice. You are responsible for downloading and backing up Outputs you want to keep.

You may stop using the Services at any time. You may request account closure by emailing support@imageditly.com. Cancel any paid subscription before renewal to avoid future charges.

We may suspend or terminate access, remove content, or limit features if we reasonably believe you violated these Terms, created risk or legal exposure, failed to pay, abused a free trial, or if necessary to protect the Services or other people. Where practical, we will provide notice and an opportunity to appeal. Terms that by their nature should survive termination will remain in effect.

To the maximum extent permitted by law, the Services and Outputs are provided “as is” and “as available.” Imageditly disclaims all express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and any warranty arising from course of dealing or usage of trade.

We do not warrant that the Services will be uninterrupted, secure, error-free, or compatible with every intended use, or that lost content can be recovered. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.

To the maximum extent permitted by law, Imageditly and its affiliates, personnel, licensors, and providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunity, arising from or related to the Services or these Terms.

Our aggregate liability for all claims arising out of or relating to the Services or these Terms will not exceed the greater of (a) the amount you paid Imageditly for the Services during the six months before the event giving rise to the claim or (b) US $50.

These limits apply regardless of the legal theory and even if a remedy fails of its essential purpose. They do not limit liability that cannot lawfully be excluded or limited.

To the extent permitted by law, you will defend, indemnify, and hold harmless Imageditly and its affiliates, personnel, licensors, and providers from claims, losses, liabilities, damages, judgments, costs, and reasonable legal fees arising from your Input, your use of Outputs, your violation of these Terms, or your infringement of another person’s rights. This obligation does not apply to the extent a claim results from Imageditly’s own unlawful conduct.

Before filing a formal claim, you and Imageditly agree to try to resolve the dispute informally for at least 30 days after written notice is received. Send a notice to support@imageditly.com with a description of the issue and requested resolution.

These Terms are governed by the laws applicable where the Imageditly service operator is established, without regard to conflict-of-law rules. Unless mandatory consumer law provides otherwise, disputes will be submitted to courts with jurisdiction over that operator. Nothing in these Terms removes mandatory consumer rights or remedies available in your country of residence.

• Entire agreement. These Terms, the Privacy Policy, and terms shown at checkout are the entire agreement about the Services.
• Severability. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions continue.
• No waiver. Failure to enforce a provision is not a waiver of it.
• Assignment. You may not assign these Terms without our consent. We may assign them in connection with a reorganization, sale, or transfer of the Services.
• No third-party beneficiaries. These Terms do not create rights for anyone other than you and Imageditly.

We may update these Terms to reflect changes to the Services, law, safety practices, or business operations. We will post the revised Terms and update the “Last updated” date. If a change is material, we may provide additional notice. Continuing to use the Services after the effective date means you accept the revised Terms, except where law requires another form of consent.
